Client deliverables produced under specific engagement agreements are licensed to the applicable client pursuant to the terms of that engagement agreement. Nothing on the Site grants any license or right to any deliverable, methodology, or intellectual property except as expressly set forth in a signed engagement agreement.

When you submit information through our intake form, PDF download form, or newsletter signup, you represent and warrant that:

The information you provide is accurate, current, and complete
You have the authority to submit such information
You consent to being contacted by Healthcare M&AI at the email address you provide, in connection with the inquiry or service interest you have expressed

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEALTHCARE M AND AI LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO HEALTHCARE M AND AI LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES TO US, OUR MAXIMUM LIABILITY SHALL BE ONE HUNDRED U.S. DOLLARS ($100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Healthcare M and AI LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or our services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any information you submit through the Site.

9. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Broward County, Florida. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

10. Termination

We reserve the right to terminate or suspend your access to the Site, in whole or in part, at any time and for any reason, without notice or liability. Upon termination, all provisions of these Terms that by their nature should survive - including intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law - shall continue in full force and effect.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Healthcare M and AI LLC with respect to your use of the Site. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us regarding the Site.

Nothing in these Terms shall be construed to modify or supersede any separate engagement agreement, statement of work, or service agreement entered into between you (or your organization) and Healthcare M and AI LLC.
